Chapter 64 - CH64 Hearing (Part 2)

The air inside Courtroom 22 sat heavy with old mahogany and floor wax, the damp wool of two hundred overcoats steaming faintly under the vents.

High above the mahogany bench, the seal of the United States District Court for the District of Columbia hung lit by pale winter sunlight through tall, arched windows. Below it, six months of Department of Justice preparation was about to drown in a single foam-board diagram.

Dr. Harrison Vance, Chairman of the Computer Science Department at Columbia University, sat in the wooden witness box in a rumpled tweed jacket and thick horn-rimmed glasses — the government's flagship witness in its antitrust case against Bhairav Holdings.

Standing at the podium was Marcus Thorne. The lead defense attorney for Bhairav Holdings looked like he'd slept nine hours the night before a trial that had cost the government six months: silver hair combed without a strand out of place, a pinstripe suit cut so precisely it barely moved when he did. On an easel beside him rested a four-foot foam-board diagram displaying a single, unparsed line of hex code:

"Dr. Vance." Thorne's voice filled the courtroom without seeming to raise itself. He picked up a slender wooden pointer and tapped the diagram. "The government's primary contention under Section 2 of the Sherman Act is that Bhairav Holdings engages in an illegal 'tying arrangement' by requiring users of its private fiber network to utilize computers powered by the Bhairav-1 silicon architecture. Is that an accurate summary of your expert report?"

"It is." Dr. Vance adjusted his glasses and leaned toward the microphone. "The BNA protocol actively restricts non-Bhairav hardware from executing handshake routines over the dark fiber network. It creates an artificial barrier to entry."

"An artificial barrier." Thorne nodded, as if in deep agreement. "Let us examine the mechanics of that barrier, Professor. Look at line four of your affidavit. You state that the BNA packet header acts as a 'gatekeeper.' Tell the court: is a packet header a physical object?"

"No," Dr. Vance said, frowning slightly. "It is a logical data structure."

"A logical data structure." Thorne took a step toward the jury box. "Is it a physical telecommunications switch, like the analog copper relays operated by AmeriTel?"

"No. It is software-level instruction logic."

"Ah." Thorne raised a finger. "Software logic. So when a Bhairav-1 chip processes this string of hex code — specifically the nine bytes designated as the routing header — is it performing a telecommunications transport service, or is it executing an internal micro-instruction within the CPU's memory register?"

Paul Richter, the lead prosecutor, rose slowly from the government's table. "Objection, Your Honor. Counsel is engaging in pedantic technological semantics designed to confuse the record."

Judge Edward Hayes looked over his reading glasses at the prosecutor. Sixty-four years old, three weeks into a trial that had produced six hours a day of testimony about data packet encapsulation, he looked like a man who would rather be fly-fishing in Vermont.

"Overruled, Mr. Richter." Hayes sighed. "The government's entire case hinges on whether Bhairav's network constitutes a common carrier utility or a proprietary computing device. The witness will answer."

Dr. Vance shifted in the witness box. "It... it is both. The chip processes the instruction locally, but the result of that instruction dictates whether the data packet travels across the physical fiber-optic cable."

Thorne turned back to the witness and let the pointer come to rest against his palm.

"Both, Dr. Vance? In common carrier jurisprudence — specifically under the Communications Act of 1934 — a common carrier is legally defined as an entity that transports unedited communications across public rights-of-way without altering the content or conditioning access on proprietary hardware execution. If the BNA protocol alters the state of the local memory register before transmission, does the transmission exist independently of the computation?"

"I... well, from a theoretical computer science perspective—"

"I am not asking for a theoretical perspective, Professor." The polite inquiry was gone from his voice; what replaced it was flat and fast. "I am asking for a legal definition. If a bank in Chicago sends an encrypted financial file to New York using our network, and that file cannot be processed without the local execution of our proprietary instruction set, is Bhairav Holdings selling a 'telephone call' or is it licensing a 'distributed software calculation'?"

Dr. Vance opened his mouth, closed it, and looked helplessly toward the prosecution table.

If he answered "a telephone call," he ignored the basic engineering reality of how client-side software rendering worked. If he answered "a distributed software calculation," the government's claim that Bhairav was operating an illegal telecommunications monopoly collapsed under existing common carrier law.

"I cannot answer that question with a simple binary choice," Dr. Vance admitted.

"Of course you can't." Thorne turned to face the judge with a flourish of his hands. "Because the Department of Justice has brought an indictment under an 1890 anti-monopoly statute against a technology that does not exist in the physical dimension. They are trying to slap handcuffs on a mathematical equation."

A wave of quiet laughter moved through the press gallery.

Richter slammed his pen down on the table. "Your Honor! This is absurd. Bhairav Holdings owns sixty percent of the dark fiber in the Midwest. They are using that physical control to choke market competition!"

"Then prove the physical control, Mr. Richter." Thorne rounded on him. "Define the relevant market. Is the market the glass cable in the dirt? Is it the light traveling through the glass? Or is it the software instruction that decodes the light? Because if you cannot define the market, you cannot prove a monopoly."

Judge Hayes brought his gavel down with a heavy, dull thud.

"That will be enough from both of you." He rubbed his temples, then looked down at the court reporter, whose fingers had gone still over her stenography machine. "The court will recess for ninety days. I am ordering both parties to submit comprehensive technical briefs defining the legal distinction between data routing protocols and localized memory execution under Section 2 precedent."

Richter looked aghast. "Ninety days, Your Honor? The government's witness schedule—"

"The government's witness schedule, Mr. Richter, is currently bogged down in a dictionary argument." Hayes was already gathering his robes. "We reconvene in May. Court is adjourned."

The gavel struck again.

As the courtroom dissolved into shuffling papers and low chatter, Marcus Thorne gathered his notes, unscrewed his silver fountain pen, and slid it into his suit pocket. He gave the defeated DOJ table a courteous nod on his way out.

He had just bought Bhairav Holdings three full months.

The Vault, Bhairav Tower, Austin

The green C-SPAN feed on the Vault's secondary terminal showed Marcus Thorne stepping out onto the courthouse steps in Washington, flanked by a dozen junior litigators. On the main screen across the room, a document editor sat open to a draft filing:

DRAFT SEC FORM S-1 REGISTRATION STATEMENT: APEX SILICON CORPORATION

I sat at my workstation, reading through the court transcripts Thorne's team had faxed down from D.C. that evening.

Robert Mercer came in without knocking, a leather binder stamped Mercer & Vance under one arm, and set it on the obsidian desk hard enough that the pen holder rattled.

"Thorne earned his fee." He didn't sit right away — stood over the desk instead, rolling a knot out of his shoulder. "Paralyzed the common carrier argument cold. Hayes is so scared of getting reversed by the Circuit he's begging us for an excuse to stall."

"Three months." I turned my chair from the terminal. "Not a win, Dad. A recess. DOJ comes back in May with sharper witnesses, and eventually somebody on their side stops trying to prove one monopoly and starts asking a court to carve out three."

"Which is why we're not waiting for May." He tapped the binder without opening it yet. "We beat them to the knife."

"The Apex spin-off."

"The Apex spin-off." He flipped it open to the tab David Hirsch had flagged in red — a flowchart with more boxes than the last draft. "Preliminary S-1. Round Rock, the Osaka lease, the whole supply chain — off Bhairav's books and onto Apex's, before anyone in Washington thinks to ask why."

I came around the desk to read it upside down, the way I'd been reading his paperwork since I was twelve. "Eighty-twenty."

"Eighty Class A, public, Garrison Sachs underwriting. Call it two and a half billion raised." He turned the page before I'd finished with it. "Every share of Class B stays with the Trust."

"Ten to one." I didn't need him to say the number out loud. "So the papers get a monopoly voluntarily breaking itself apart, the DOJ gets to tell the press their lawsuit forced the Texas Syndicate's hand, and nothing on the board actually moves."

"That's more or less the sentence Hirsch wants for the prospectus."

I stood and walked to the glass wall overlooking the Austin skyline. Below, on the lower floors of Bhairav Tower, hundreds of engineers were still bent over the next iteration of the Indrajaal Navigator, unaware that the legal name on their next paycheck was about to change.

"And the IP," I said, watching my father's reflection rather than turning around.

"Never touches Apex." Robert closed the binder. "Bhairav-1 architecture, the memory-paging controllers, the BNA routing logic — all of it stays inside Saraswati, Cayman Islands. Apex is a licensed manufacturer and nothing more. Every wafer that comes off the line in Osaka, Saraswati collects a royalty on it."

I picked up the silver Lakshmi coin from the desk and turned it once between my fingers.

The government was trying to kill a single tech owned company. By the time they got their sword down, it would already be three companies wearing one skin: a public hardware manufacturer answering to Wall Street, a regional telecom utility answering to state regulators, an offshore IP vault answering to no one. The factories would still need Saraswati's software to run. The fiber lines would still need Saraswati's protocols to route a single packet. And every dollar the public markets paid for a piece of Apex would find its way back to the accounts funding Soma's slow buyout of American cultural copyright.

"File the preliminary papers, Dad." I closed my hand around the coin. "Quietly. Use Garrison Sachs's proxy firms for the Delaware filing."

"Understood." Robert picked the binder back up. "Hirsch flies back Friday to finalize the valuation models."

"Tell him there's no rush." I turned back to the terminal, to the draft S-1 glowing on the screen. "Let Thorne keep the courtroom loud in Washington. We'll build the ghost in the dark."
