[The Omniverse - Abyssal Dynamics Executive Boardroom]
The starlight-glass of the Abyssal Dynamics boardroom rattled violently. The air smelled of burning ozone and sterile ozone.
Sitting around the massive table were the remaining eleven Eldritch Angel Investors from the Leviathan Hedge Fund. They were twelve feet tall, composed of rotating rings of holy fire, and wearing tailored pinstripe suits.
Victor Thorne walked through the heavy double doors, his midnight-blue suit pristine. Seraphina trailed him, her silver clipboard pressed to her chest.
"You are late, Founder Thorne," the Lead Angel's voice was a terrifying, multi-layered chorus that threatened to shatter the windows. "We have called an emergency board meeting."
"I don't recall authorizing a board meeting," Victor said smoothly, taking a slow sip of his black coffee as he stood at the head of the table.
"You don't have to," the Angel slammed a glowing, platinum document onto the glass. "As your Series A investors, we are invoking the 'Protective Provision' covenant embedded in our Term Sheet. Your unauthorized cryptojacking of Director Mammon's servers constitutes gross corporate misconduct. We are initiating a Hostile Board Vote."
Princess Ignis, standing by the door, drew her demonic broadsword. "You own ten percent! You can't vote him out!"
"We can if the Founder is indicted for fraud," the Angel sneered, its thousand eyes locking onto Victor. "Under Omniversal Corporate Law, our Preferred Shares temporarily convert to Voting Common Shares during a gross misconduct hearing. We are officially calling a vote of No Confidence to strip you of your CEO title, seize your IP, and liquidate this company."
"All in favor?" the Lead Angel boomed.
All eleven Eldritch Angels raised their glowing, multi-jointed hands. The sheer weight of their combined financial aura pressed down on the room, cracking the floorboards beneath Victor's leather shoes.
"The vote is unanimous," the Angel declared, triumphantly. "Clean out your desk, Tycoon."
Victor didn't flinch. He didn't activate a magical barrier. He simply pulled his gold pocket watch from his vest, checking the time.
"It isn't unanimous," Victor adjusted his cuffs. "Because you failed to read the company's Articles of Incorporation."
Victor tapped his gold-nibbed pen against the Tycoon's Ledger.
"When I founded Abyssal Dynamics, I utilized a Dual-Class Stock structure," Victor explained, his Tycoon's Aura effortlessly suffocating the holy fire in the room. "The ten percent equity you hold is Class A Common Stock. It grants one vote per share."
Victor smiled a cold, calculating, and utterly ruthless smile.
"The ninety percent equity I hold is Class B Founder's Stock," Victor stated. "It grants one hundred votes per share. Which means my single vote carries exactly nine thousand times more weight than your entire consortium combined."
The Angels froze. Their thousand eyes widened in absolute, bureaucratic terror as the mathematical reality of the trap set in.
"I vote to retain my position as CEO," Victor slashed his pen across the Ledger. "Motion denied. Furthermore, because you attempted a hostile coup, I am legally invoking my right to buy back your shares at a ninety-nine percent penalty discount. Seraphina, process the transaction. You are all fired."
